Terms of service

The agreement between you and CosmoOps for using CosmoOps Contracts.

1. Eligibility and accounts

By creating an account, or by using CosmoOps Contracts, you confirm that you are at least 18 years old and are authorised to accept these terms for your organisation.

Contracts signs you in through CosmoOps Connect. You are responsible for keeping your credentials safe and for everything done under your session.

2. Workspace roles and seats

Access is organised around workspaces and seats. Workspace administrators give team members a role - admin, manager, member or viewer - which decides what they may see and do, including approving contracts and sending them for signature.

Each seat belongs to one named person. Shared logins are not permitted, and administrators are responsible for removing access when somebody leaves.

3. Your contracts and data

You own every contract, template, clause, counterparty record, document and note in your workspace. You grant us only the limited licence needed to host, process, back up and display them to provide the service.

You confirm you have the right to store the personal data of the counterparties and contacts you add, as the Digital Personal Data Protection Act, 2023 requires.

4. Electronic signatures

Contracts provides an electronic signature: a signer is identified by a one-time code sent to their email address, gives consent, and types or draws a signature. We record each step - sent, viewed, code verified, signed or declined - with its time, IP address and device, and freeze the SHA-256 hash of the signed document in a certificate of completion.

This is an electronic record of agreement under section 10A of the Information Technology Act, 2000. It is not an Aadhaar eSign or a digital signature certificate, and it does not pay stamp duty. You are responsible for deciding whether a document can be validly executed this way; documents the law requires to be signed otherwise, registered or stamped are not.

5. Counterparties and shared links

Negotiation and signing links let people outside your workspace read a contract and act on it. Anyone holding a link and access to the email address it was sent to can use it, so send links only to the intended person, set an expiry and a password where it matters, and revoke a link you no longer need.

6. Subscriptions and plan limits

Contracts is offered on the plans shown on the Plans page, billed monthly or annually. Each plan sets its own limits - seats, active contracts, signature requests a month, templates and approval workflows - and which features are included.

Charges are collected in advance through CosmoOps Connect billing. If you move to a plan with lower limits, nothing you have is deleted; you will not be able to add more until you are back within the limit.

7. Acceptable use

You agree not to:

  • Use Contracts to create or send fraudulent, forged or unlawful agreements, or to impersonate a signer.
  • Send signing or negotiation links to people who have not agreed to deal with you.
  • Upload malicious files, or attempt to reach another workspace's data.
  • Scrape, resell or reverse engineer the service or its interfaces.

8. Not legal advice

Templates, clauses, AI summaries and extracted terms are tools, not legal advice. Check every contract before it is sent, and take professional advice where the stakes call for it.

9. Warranties and liability

Contracts is provided "as is" and "as available". We make commercially reasonable efforts to keep it available and your data backed up, but do not promise uninterrupted service.

To the extent the law allows, our total liability for any claim arising from your use of Contracts is limited to the fees you paid in the twelve months before the claim.

10. Governing law and disputes

These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts named below.

For the platform's own terms, see the CosmoOps Connect terms.
